GOVERNANCE AND NOMINATING COMMITTEE CHARTER

 

Purpose and Scope

 

Blox Inc. (the “Company”) believes that “Corporate Governance” means the process and structure used to oversee the management of the business affairs of the Company in the best interests of the Company.  The process and structure define the division of power between, and establish mechanisms for achieving accountability by, the Board of Directors (the “Board”) and senior management.

 

Membership

​

  1. Number of Members - The Governance and Nominating Committee (the “Committee”) shall be composed of three or more members of the Board.

  2. Independence of Members - Each member of the Committee shall be independent.  “Independent” shall have the meaning, as the context requires, given to it in Canada under National Instrument 58-101 Disclosure of Corporate Governance Practices or any other applicable jurisdiction as may be amended from time to time.

  3. Term of Members - The members of the Committee shall be appointed annually by the Board.  Each member of the Committee shall serve at the pleasure of the Board until the member resigns, is removed, or ceases to be a member of the Board. Unless a Chair is elected by the Board, the members of the Committee may designate a Chair by majority vote of the full Committee membership.

 

Meetings

  1. Number of Meetings -The Committee shall meet as many times as required to carry out its duties and responsibilities.

  2. Quorum - No business may be transacted by the Committee at a meeting unless a quorum of the Committee is present.  A majority of members of the Committee shall constitute a quorum.

  3. Minutes and Reporting to the Board - The Committee shall maintain minutes or other records of meetings and activities of the Committee in sufficient detail to convey the substance of all discussions held.  Upon approval of the minutes by the Committee, the minutes shall be circulated to the members of the Board.  However, the Chair may report orally to the Board on any matter in his or her view requiring the immediate attention of the Board.

  4. Attendance of Non-Members - The Committee may invite to a meeting any officers or employees of the Company, legal counsel, advisors and other persons whose attendance it considers necessary or desirable in order to carry out its responsibilities. 

  5. Procedure -The procedures for calling, holding, conducting and adjourning meetings of the Committee shall be the same as those applicable to meetings of the Board.

 

Duties and Responsibilities

 

Subject to the powers and duties of the Board, the Board has delegated the following powers and duties to be performed by the Committee on behalf of and for the Board:

  1. Composition and Qualifications for the Board - The Committee shall develop and update a long-term plan for the composition of the Board that takes into consideration the current strengths, competencies, skills and experience of the Board members, retirement dates and the strategic direction of the Company, and report to the Board thereon at least annually.

    The Committee shall undertake on an annual basis an examination of the size of the Board, with a view to determining the impact of the number of directors, the effectiveness of the Board, and recommend to the Board, if necessary, a reduction or increase in the size of the Board.

  2. Annual Assessments -The Committee, in consultation with the Chair, shall endeavour to ensure that an appropriate system is in place to evaluate the effectiveness of the Board as a whole as well as the committees of the Board with a view to ensuring that they are fulfilling their respective responsibilities and duties, his or her particular role on the Board or on a committee, as well as any other relevant facts.

  3. Conflicts of Interest- The Committee shall monitor conflicts of interest (real or perceived) of both the Board and management in accordance with the Code of Business Conduct and Ethics.

  4. Annual Nominations - Based on the guidelines referred to in this Charter, the Committee shall, in consultation with the Chairman of the Board and the CEO, annually or as required, recruit and identify individuals qualified to become new Board members and recommend to the Board new director nominees for the next annual meeting of shareholders.

    The Committee shall also, in consultation with the Chairman of the Board, annually or as required, recommend to the Board, the individual Directors to serve on the various Committees. In making its recommendations, the Committee shall consider the competencies and skills that the Board considers to be necessary for the Board as a whole to possess the competencies and skills that the Board considers each existing director to possess, and the competencies and skills each new nominee will bring to the boardroom.  The Committee shall also consider the amount of time and resources that nominees have available to fulfill their duties as a Board member.

    The Committee may also recommend for Board approval the removal of a director from the Board or from a Board Committee if he or she is no longer qualified to serve as a director under applicable requirements or for any other reason the Committee considers appropriate. 

  5. Corporate Governance Overview - The Committee shall conduct a periodic review of the Company's corporate governance policies and bring forward to the Board policy recommendations aimed at enhancing Board and committee effectiveness.

    The Committee shall review the disclosure in the Company's public disclosure documents relating to corporate governance practices given to it in National Instrument 58-101 Disclosure of Corporate Governance Practices and prepare recommendations to the Board regarding any other reports required or recommended on corporate governance.

    The Committee shall conduct a periodic review of the relationship between management and the Board, particularly in connection with a view to ensuring effective communication and the provision of information to directors in a timely manner.

  6. Functioning of Committee - The Committee shall have unrestricted access to Company personnel and documents and the resources necessary to carry out its responsibilities.

  7. Education of Board Members - The Committee shall review, monitor and make recommendations regarding new director orientation and the ongoing development of existing Directors.

  8. Responsibilities of Board Members and Committees - The Committee shall periodically review the Board of Directors Guidelines and the Charters for each Committee of the Board, together with the Position Descriptions of each of the Chairman of the Board and the Chief Executive Officer and Lead Director, and where necessary, recommend changes to the Board.  The Committee shall review and recommend the appropriate structure, size, composition, the charter and members for the committees. In addition, the Committee shall review procedures to ensure that the Board and the committees function independently of management.

  9. Review of Breaches of the Code of Business Conduct and Ethics - The Committee shall receive reports from the Chief Executive Officer or Chief Financial Officer regarding breaches of the Code of Business Conduct and Ethics, and shall in turn report those breaches to the Board.  The Committee shall review investigations and any resolutions of complaints received under the Code of Business Conduct and Ethics and report annually to the Board thereon.

COMPENSATION COMMITTEE CHARTER

​

  1. The Compensation Committee (the “Committee”) is appointed by the Board of Directors of Blox Inc. (the “Company”) to assist the Board in fulfilling its responsibility to shareholders, potential shareholders and the investment community by reviewing and providing recommendations to the Board regarding compensation of the Corporation’s executive officers, employees and directors, succession plans for executive officers, and the Corporation’s overall compensation and benefits policies, plans and programs.

  2. The term “compensation” includes salary, incentive and equity compensation, bonuses, severance arrangements and all other compensatory benefits including benefits or rights under the Corporation’s benefit plans.

 

Composition and Committee Organization

  1. The Committee will be comprised of the minimum of three directors, as determined by the Board, each of whom will meet the independence requirements of the relevant securities exchanges and regulatory agencies as may apply from time to time.  Each member will be independent of management and free from any relationship that, in the opinion of the Board, would interfere with the exercise of his or her independent judgment as a committee member.

  2. Committee members shall be appointed by the Board at its first meeting following each annual shareholders meeting.  If the Committee Chair is not designated by the Board, the members of the Committee may designate a Chair by majority vote of the Committee membership.

  3. The Committee will meet at least once annually or more frequently as circumstances dictate.  The Chair of the Committee will prepare and/or approve an agenda in advance of each meeting.  Committee meetings may be held in person, by telephone conference or by video conference.  A majority of the members of the Committee present in person, by teleconferencing or by videoconferencing will constitute a quorum.

  4. The CEO of the Corporation will be given notice of all meetings, will be provided with all materials provided to Committee members, and will be entitled to attend all Committee meetings.  However, the CEO will be absent from the meeting of the Committee at the time of any deliberation or vote with respect to compensation of the CEO.

  5. The Committee should meet privately at least annually with management to discuss any matters that the Committee or management believes should be discussed. 

 

Power and Authority

 

The Committee shall have:

  1. The authority to conduct any investigation appropriate to fulfilling its responsibilities;

  2. The right at any time to retain special legal, compensation or other consultants or experts it deems necessary in the performance of its duties, at a compensation to be determined by the Committee; and

  3. Such other powers and duties as may be delegated to it from time to time by the Board.

 

Duties and Responsibilities - Compensation

 

The Committee shall:

  1. Establish the succession plan for the Chief Executive Officer (“CEO”), President and Chairman and other executive officers, as applicable, for review with the Board;

  2. Review the position description for the CEO, President and Chairman;

  3. Annually review and approve corporate goals and objectives relevant to the compensation of the CEO, President and Chairman and other executive officers and evaluate the CEO, President and Chairman and the other executive officers' performance in light of those goals and objectives;

  4. Annually review current and future compensation for the CEO, President and Chairman and the other executive officers.  In determining future long term incentive compensation of the CEO, President and Chairman and other executive officers, the Committee will consider factors it considers appropriate which may include the Corporation's performance, relative shareholder return, the value of similar incentive awards at comparable companies and the awards given to the CEO, President and Chairman and other executive officers in past years, as well as the desire of the Corporation to attract and retain qualified persons and to align the interest of management with the interests of the Corporation and its shareholders.  The Committee will make recommendations to the Board with respect to the CEO, President and Chairman;

  5. Annually review and approve compensation for the Executive Management whereby Executive Management are those reporting directly to and of the CEO, President and Chairman, or those requiring disclosure in the Company's annual information circular; 

  6. Annually review and approve compensation levels (or ranges) for employee's below those described in item 5.  Compensation that deviates from approved compensation levels (or ranges) shall be approved by the Compensation Committee;

  7. Review and recommend to the Board compensation to directors for their service on the Board and committees, including incentive compensation plans and equity-based plans;

  8. In the determination of compensation for the Executive Management and directors, the Compensation Committee will utilize all, any or none of the following: compensation surveys, peer comparison, analysis, compensation consultants and any other reference or means deemed appropriate;

  9. Oversee and monitor overall employee compensation strategies, programs and benefits;

  10. Oversee and make recommendations to the Board with respect to the design, administration and amendment of incentive compensation plans and equity-based plans, including, without limitation, the Corporation's stock option plan, and to the extent requested by the Board make recommendations regarding awards to eligible persons, appropriate vesting terms, exercise prices, limitations, restrictions and conditions of any awards;

  11. Review and evaluate as directed by the Board, proposed employment agreements, separation and severance terms and other compensatory arrangement for executive officers and make recommendations to the Board relating thereto; and

  12. Review and recommend for approval by the Board a report on executive compensation for inclusion in the Corporation's information circular for its annual general meeting.

 

Duties and Responsibilities - General

 

The Committee shall:

  1. Review and assess the adequacy of this Charter at least annually and submit it to the Board for approval;

  2. Annually prepare and/or review a report to shareholders to be included in the in Corporation's annual information or proxy circular as required by applicable securities laws;

  3. Annually evaluate the Committee's performance and report its findings to the Board;

  4. Maintain minutes of meetings and periodically report to the Board on significant results of the Committee's activities; and

  5. Perform any other activities consistent with this Charter, the Corporation's documents, and governing law, as the Committee or the Board deems necessary or appropriate.

BOARD MANDATE

Introduction and Purpose

 

The members of the Board of Directors (the “Board”) have the duty to supervise the management of the business and affairs of Blox Inc. and its subsidiaries (collectively, “Blox” or the “Company”).  The Board, directly and through its committees and the chair of the Board (the “Chair”), if independent, or lead director (if the Chair) is not independent shall provide direction to senior management, generally through the Chief Executive Officer, to pursue the best interests of the Company.  If a Lead Director is not appointed by the Company and the Chairman is not independent, the duties shall be carried out by the President & CEO until a Lead Director is appointed.

 

Duties and Responsibilities

 

The Board shall have the specific duties and responsibilities outlined below:

  1. Strategic Planning

    1.  

    2. Strategic Plans - The Board will adopt a strategic plan for the Company as presented by Management. At least annually, the Board shall review and, if advisable, approve the Company's strategic planning process and the Company's annual strategic plan. In discharging this responsibility, the Board shall review the plan in light of management's assessment of emerging trends, the competitive environment, the opportunities for the business of the Company, risk issues, and significant business practices and products.

    3. Business and Capital Plans - At least annually, the Board shall review and, if advisable, approve the Company's annual business and capital plans as well as policies and processes generated by management relating to the authorization of major investments and significant allocation of capital.

    4. Monitoring - At least annually, the Board shall review management's implementation of the Company's strategic, business and capital plans. The Board shall review and, if advisable, approve any material amendments to, or variances from, these plans.

    5. Material Divestitures and Acquisitions – The Board will approve material divestitures and acquisitions.

  3. Risk Management

    1.  

    2. General - At least annually, the Board shall review reports provided by management of principal risks associated with the Company's business and operations, review the implementation by management of appropriate systems to manage these risks, and review reports by management relating to the operation of, and any material deficiencies in, these systems.

    3. Verification of Controls - The Board shall verify that internal, financial, non-financial and business controls and management information systems have been established by management.

  5. Human Resource Management

    1.  

    2. General - At least annually, the Board shall review a report of the Compensation Committee concerning the Company's approach to human resource management and executive compensation.

    3. Succession Review - At least annually, the Board shall review the succession plans of the Company for the Chair, the Lead Director (if applicable), the Chief Executive Officer and other executive officers, including the appointment, training and monitoring of such persons.

    4. Integrity of Senior Management - The Board shall, to the extent feasible, satisfy itself as to the integrity of the Chief Executive Officer and other executive officers of the Company and that the Chief Executive Officer and other senior officers strive to create a culture of integrity throughout the Company.

  7. Corporate Governance

    1.  

    2. General - At least annually, the Board shall review a report of the Governance and Nominating Committee concerning the Company’s approach to corporate governance.

    3. Director Independence - At least annually, the Board shall review a report of the Governance and Nominating Committee that evaluates the director independence standards established by the Board and the Board’s ability to act independently from management in fulfilling its duties.

    4. Ethics Reporting - The Board has adopted a written Code of Business Conduct and Ethics (the “Code”) applicable to directors, officers and employees of the Company.  At least annually, the Board shall review the report of the Governance and Nominating Committee relating to compliance with, or material deficiencies from, the Code and approve changes it considers appropriate.  The Board shall review reports from the Governance and Nominating Committee concerning investigations and any resolutions of complaints received under the Code.

    5. Board of Directors Mandate Review - At least annually, the Board shall review and assess the adequacy of its Mandate to ensure compliance with any rules of regulations promulgated by any regulatory body and approve any modifications to this Mandate as considered advisable.

  9. Communications

    1.  

    2. General - The Board has adopted a Disclosure Policy for the Company.  At least annually, the Board, in conjunction with the Chief Executive Officer, shall review the Company’s overall Disclosure Policy, including measures for receiving feedback from the Company’s stakeholders, and management’s compliance with such policy.  The Board shall, if advisable, approve material changes to the Company’s Disclosure Policy.

    3. Shareholders - The Company endeavors to keep its shareholders informed of its progress through an annual report, annual information form, quarterly interim reports and periodic press releases. Directors and management meet with the Company’s shareholders at the annual meeting and are available to respond to questions at that time. In addition, the Company shall maintain on its website a contact email address that will permit shareholders to provide feedback to the Company.

    4. Financial and Corporate Issues – The Board has the responsibility to:

      1. Review and approve the annual financial statements and management’s discussion and analysis for the Company and to review and approved the unaudited interim financial statements and management’s discussion and analysis for the Company;

      2. Approve the Management Proxy Circular, Annual Information Form and documents incorporated by reference therein;

      3. Declare dividends to shareholders;

      4. Approve financing, changes in authorized capital, issue and repurchase of securities, issue of debt securities, listings of shares and other securities, issue of commercial papers, and related prospectuses and trust indentures;

      5. Recommend appointment of external auditors;

      6. Approve banking resolutions and significant changes in banking relationships;

      7. Approve contracts, leases and other arrangements or commitments that may have a material impact on the Company such materiality to be approved by the Board from time to time by resolution;

      8. Approve spending authority guidelines; and

      9. Approve the commencement or settlement of litigation that may have a material impact on the Company.

 

Composition

  1. General - The composition and organization of the Board, including: the number, qualifications and remuneration of directors; the number of Board meetings; quorum requirements; meeting procedures and notices of meetings are required by the State of Nevada and the articles and by-laws of the Company, subject to any exemptions or relief that may be granted from such requirements.

    The Governance and Nominating Committee shall analyse the Board of Directors skill sets required and to recommend to the Board the criteria to fill vacancies accordingly.

    Each director must have an understanding of the Company’s principal operational and financial objectives, plans and strategies, and financial position and performance. Directors must have sufficient time to carry out their duties and not assume responsibilities that would materially interfere with, or be incompatible with, Board membership. Directors, who experience a significant change in their personal circumstances, including a change in their principal occupation, are required to advise the chair of the Governance and Nominating Committee.

  2. Independence - A majority of the Board must be independent.  “Independent” shall have the meaning, as the context requires, given to it in Corporate Governance Guidelines of the OTCBB as may be amended from time to time.

  3. Chair of the Board - The Chair of the Board shall be an independent director, unless the Board determines that it is inappropriate to require the Chair to be independent.  If the Board determines that it would be inappropriate to require the Chair of the Board to be independent, then the independent directors shall select from among their number a director who will act as “Lead Director” and who will assume responsibility for providing leadership to enhance the effectiveness and independence of the Board.  The Chair, if independent, or the Lead Director if the Chair is not independent, shall act as the effective leader of the Board and ensure that the Board’s agenda will enable it to successfully carry out its duties. If a Lead Director is not appointed by the Company and the Chairman is not independent, the duties shall be carried out by the President & CEO until a Lead Director is appointed.

 

Job Descriptions of CEO, Chairman and Lead Director

  1. Job Description of the CEO - The Board has a job description for the CEO.  The job description may change from time to time as the Board of Directors see fit.  Attached as Exhibit "A" is the full job description of the CEO.

  2. Job Description of the Chairman - The Board has a job description for the Chairman.  The job description may change from time to time as the Board of Directors see fit.  Attached as Exhibit "B" is the full job description of the Chairman.

  3. Job Description of the Lead Director - The Board has a job description for the Lead Director, to be used if a Lead Director is appointed.  The job description may change from time to time as the Board of Directors see fit.  Attached as Exhibit "C" is the full job description of the Lead Director.

 

Committees of the Board

  1. General - The Board has established the following committees: the Compensation Committee, the Audit Committee, and the Governance and Nominating Committee.  Subject to applicable law, the Board may establish other Board committees or merge or dispose of any Board committee.

  2. Committee Charters - The Board has approved charters for each Board committee and shall approve charters for each new Board committee.  At least annually, each charter shall be reviewed by the Governance and Nominating Committee and any suggested amendments brought to the Board for consideration and approval.

  3. Delegations to Committees - The Board has delegated to the applicable committee those duties and responsibilities set out in each Board committee’s charter.

  4. Consideration of Committee Recommendations - As required by applicable law, by applicable committee Charter or as the Board may consider advisable, the Board shall consider for approval the specific matters delegated for review to Board committees.

  5. Board/Committee Communication - To facilitate communication between the Board and each Board committee, each committee chair shall provide a report to the Board on material matters considered by the committee at the first Board meeting after the committee’s meeting.

 

Meetings

  1. Meetings –The Board will meet at least once in each quarter and not less than five times per year, with additional meetings held as deemed advisable. The Chair is primarily responsible for the agenda and for supervising the conduct of the meeting. Any director may propose the inclusion of items on the agenda, request the presence of, or a report by any member of senior management, or at any Board meeting raise subjects that are not on the agenda for that meeting.  Meetings of the Board may be held at any place within or outside British Columbia and shall be conducted in accordance with the Company’s by-laws. Notice of a meeting shall be served not less than two days prior to the meeting date.  Notice of an adjourned meeting is not required if the time and place is announced at the original meeting.  A quorum is present at the meeting when a majority of the number of directors are either present in person or by telephone, electronically or other means of communication.  A majority of votes cast in favour at a meeting of directors or a committee of directors is required to pass a proposal.  In case of an equality of votes the chairman of the meeting shall not have a second or casting vote.

  2. Secretary and Minutes –The Corporate Secretary, his or her designate or any other person the Board requests shall act as secretary of Board meetings.  Minutes of Board meetings shall be recorded and maintained by the Corporate Secretary and subsequently presented to the Board for approval.

  3. Meetings Without Management –The independent members of the Board shall hold regularly scheduled meetings, or portions of regularly scheduled meetings, at which non-independent directors and members of management are not present.

  4. Directors' Responsibilities –Each director is expected to attend all meetings of the Board and any committee of which he or she is a member. Directors will be expected to have read and considered the materials sent to them in advance of each meeting and to actively participate in the meetings.

  5. Access to Management and Outside Advisors - The Board shall have unrestricted access to management and employees of the Company. The Board shall have the authority to retain external legal counsel, consultants or other advisors to assist it in fulfilling its responsibilities and to set and pay the respective reasonable compensation of these advisors without consulting or obtaining the approval of an officer of the Company.  The Company shall provide appropriate funding, as determined by the Board, for the services of these advisors.

  6. Service on Other Boards and Audit Committee - Directors may serve on the boards of other public companies so long as these commitments do not materially interfere and are compatible with their ability to fulfill their duties as a member of the Board. Directors must advise the Chair in advance of accepting an invitation to serve on the board of another public company.

 

Director Development, Orientation and Evaluation

  1. Development and Orientation - Each new director shall participate in the Company’s initial orientation program and each director shall participate in the Company’s continuing director development programs.  At least annually, the Board shall review the Company’s initial orientation program and continuing director development programs.

  2. Self Assessment –Annually the directors will self assess the effectiveness of the Board, Committees and Directors in fulfilling their responsibilities.

  • Establishes effective working relationships collectively and individually with the Board of Directors.

POSITION DESCRIPTION OF CHAIR

 

The Chair of the Board of Directors of the Company (the “Board”) is principally responsible for overseeing the operations and affairs of the Board. In fulfilling his or her responsibilities, the Chair will be responsible for:

  1. providing leadership to foster the effectiveness of the Board;

  2. ensuring there is an effective relationship between the Board and senior management of the Company;

  3. ensuring that the appropriate committee structure is in place and assisting the Nominating and Corporate Governance Committee in making recommendations for appointment to such committees;

  4. in consultation with the other members of the Board and the Chief Executive Officer of the Company, ensuring the agenda for each meeting of the Board addresses issues;

  5. ensuring that the directors receive the information required for the proper performance of their duties, including information relevant to each meeting of the Board;

  6. chairing Board meetings, including stimulating debate, providing adequate time for discussion of issues, facilitating consensus, encouraging full participation and discussion by individual directors and confirming that clarity regarding decision-making is reached and accurately recorded;

  7. chairing all shareholder general meetings;

  8. together with the Nominating and Corporate Governance Committee, ensuring that an appropriate system is in place to evaluate the performance of the Board as a whole, the Board’s committees and individual directors, with a view to ensuring that they are fulfilling their respective responsibilities and duties, and making recommendations to the Nominating and Corporate Governance Committee for changes when appropriate;

  9. consulting with the Nominating and Corporate Governance Committee]on candidates for nomination or appointment to the Board;

  10. working with the Chief Executive Officer to ensure that the Board is provided with the resources to permit it to carry out its responsibilities and bringing to the attention of the Chief Executive Officer any issues that are preventing the Board from being able to carry out its responsibilities; and

  11. providing additional services required by the Board.

POSITION DESCRIPTION OF LEAD DIRECTOR

 

The Lead Director will facilitate the functioning of the Board of Directors of the Company (the “Board”) independently of management of the Company and provide independent leadership to the Board.  In fulfilling his or her responsibilities, the Lead Director will be responsible for:

  1. providing leadership to ensure that the Board functions independently of management of the Company and other non-independent directors;

  2. providing leadership to foster the effectiveness of the Board;

  3. working with the Chair to ensure that the appropriate committee structure is in place and assisting the Nominating Committee in making recommendations for appointment to such committees;

  4. working with the Chair to develop meeting schedules that ensure there is sufficient time for discussion of agenda topics at meetings of the Board;

  5. recommending to the Chair items for consideration on the agenda for each meeting of the Board;

  6. commenting to the Chair on the quality, quantity and timeliness of information provided by management to the independent directors and acting as the liaison between the independent directors and the Chief Executive Officer to ensure that any additional information requested by the Board members is included in the materials prepared by management for the Board;

  7. calling, where necessary, the holding of special meetings of the Board, outside directors or independent directors, with appropriate notice, and establishing agenda for such meetings in consultation with the other outside or independent directors, as applicable;

  8. in the absence of the Chair, chairing Board meetings, including, providing adequate time for discussion of issues, facilitating consensus, encouraging full participation and discussion by individual directors and confirming that clarity regarding decision-making is reached and accurately recorded; in addition, chairing each Board meeting at which only outside directors or independent directors are present;

  9. being identified as a point of contact for enquiries from shareholders relating to the Board or the Company;

  10. consulting and meeting with any or all of the independent directors, at the discretion of either party and with or without the attendance of the Chair, and representing such directors in discussions with management of the Company on corporate governance issues and other matters; and

  11. working with the Chair and the Chief Executive Officer to ensure that the Board is provided with the resources, including external advisers and consultants to the Board as considered appropriate, to permit it to carry out its responsibilities and bringing to the attention of the Chair and the Chief Executive Officer any issues that are preventing the Board from being able to carry out its responsibilities.
